Welcome to the Silhouette File! We provide a creative hub where you and your artist(s) can partner with us to upload digital art for our customers, who can buy licenses and download this digital artwork "Digital Art."
Seller Terms and Conditions Agreement
In these Seller Terms and Conditions (Terms) (a) "You" or "Your" refers to both yourself and, if applicable, any entity you are authorized to represent, such as your employer. (b) "We," "Us," or "Our" refers to Silhouette File Ltd, a registered company in Greater London, United Kingdom, with company number 13433377, Each party is referred to as a "Party," and together, we are the "Parties."
By registering as a seller and listing your digital art on our platform, you acknowledge and agree to comply with the following terms and conditions:
1. Protection of Creative Rights and Creators Rights
a. Ownership and Creative Rights: You retain all intellectual property rights in your digital artwork designs. You grant SilhouetteFile.com a non-exclusive, worldwide, royalty-free license to use, display, and distribute your digital artwork designs on SilhouetteFile.com and for promotional purposes.
b. Copyright Infringement: You must ensure that your digital artwork designs do not infringe upon the intellectual property rights of third parties. SilhouetteFile.com reserves the right to remove any content that violates copyright or trademark laws.
c. Content Review: SilhouetteFile.com may review your digital artwork designs for compliance with our content guidelines and copyright infringement. We have the right to remove or suspend your content if it violates these guidelines.
2. Exclusivity of Artwork
a. Freedom of Expression: Silhouette File LTD offers non-exclusivity to sellers. You have the freedom to sell your digital art anywhere you choose, without any restrictions or exclusivity requirements on our platform.
3. Uploading Digital Artwork Designs
a. Accuracy: You are responsible for the accuracy and completeness of the information you provide when uploading digital artwork designs, including titles, descriptions, and tags.
b. Prohibited Content: You may not upload digital artwork designs that are obscene, offensive, illegal, or violate any applicable laws or regulations.
4. Promotions and Advertisement
a. Promotional Activities: Silhouette File LTD may engage in promotional activities to market your digital art on our platform and other marketing channels, such as social media, newsletters, and third-party websites. You grant Silhouette File Ltd. the right to use and promote your digital art for such activities.
b. Seller Promotion: You are encouraged to promote your digital art and your presence on our platform through your own marketing efforts. However, any promotional materials must comply with our guidelines and not misrepresent Silhouette File LTD or the platform in any way.
5. Payment and Compensation
a. Pricing: You have the discretion to set the price for your digital art, subject to Silhouette File LTD's pricing guidelines. We may provide pricing recommendations, but the final decision rests with you.
b. Payment: You will receive a percentage of the sale price of your digital artwork designs as specified in our Seller Payment Policy, which may include deductions for fees, taxes, and refunds as applicable. Payments will be made through your selected payment method.
6. Licensing Acceptance to Our Customers
a. License Acceptance: When a customer(s) purchases your digital artwork, you give him/her/them in term acceptance of a non-exclusive, non-transferable license to use the design for personal and limited commercial purposes, as specified in our Licensing agreement.
7. Refunds and Returns
a. Refunds: Silhouette File Team handles all refunds and returns in accordance with our Refund Policy. You must cooperate with us to facilitate any refunds or returns.
8. Termination
a. Termination by You: You may terminate this agreement and remove your digital art from the platform at any time. Your obligations, including intellectual property rights, will continue to apply to previously sold digital art.
b. Termination by us: We reserve the right to suspend or terminate your seller account and remove your digital art from the platform for any violation of this agreement or our policies.
9. Amendments to the Agreement
We reserve the right to modify this agreement at any time. We will notify you of significant changes, and your continued use of the platform after such modifications constitutes acceptance of the updated terms. If we do not notify you, you may check back occasionally to learn about interim changes to the Agreement.
10. Governing Law
This agreement is governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising from or related to this agreement shall be resolved in the courts of the United Kingdom.
By registering as a seller on Silhouette File, you acknowledge that you have read, understood, and agreed to this agreement, including its intellectual property, exclusivity, and promotion terms. If you do not agree to these terms, please do not use our platform as a seller.
